Terms of service
Last updated 21 September 2026 · draft 2
1. What the service is
The Automated Decision Making Company is a trading name of The Workplace Compliance Company Ltd (company no. 17330424), which operates this risk-assessment tool. It asks you structured questions about how your automated decision technology works and produces a report describing your assessed risk under UK data protection and equality law, the evidence gaps we've identified, and, where applicable, an escalation to legal review.
2. What the service is not
The service is not legal advice, and using it does not create a solicitor-client relationship. It does not certify that you are "legally compliant" with any law. It is not a substitute for a qualified solicitor's advice on your specific circumstances, particularly for any finding the report flags for legal review. You remain responsible for your own compliance with UK GDPR, the Equality Act 2010, and any other applicable law.
3. What you agree not to submit
The questionnaire is designed to be answered without submitting any individual's personal data. You warrant that you will not paste, upload, or otherwise submit real customer or candidate records, CVs, video files, scores, health data, or any other personal data belonging to the people your automated decisions affect. This is a contractual term, not a request — you are responsible for what your team enters, in the same way you are responsible for what your team emails or uploads anywhere else.
If you breach this and it causes us loss (for example, a claim from a third party whose data was submitted without their knowledge), you agree to indemnify us for that loss. We may remove any such data we identify, and may suspend or terminate an account that submits it, repeatedly or otherwise.
FOR COUNSEL — this section was strengthened from a request to a warranty and indemnity on 22 September 2026. Please confirm the wording holds up and is not wider than we can reasonably ask a business customer to accept.
4. Accuracy of reports
Reports reflect the answers you provide and the legal schema in force on the date of generation. We re-base reports when the underlying legal position materially changes, but a report is only as accurate as the answers used to generate it, and only current as of its issue date unless reassessed.
5. Plans, payment and cancellation
What you are buying. A Single Report is a one-off purchase of one report. Core is an annual subscription including a set number of reports each year. Enterprise is quoted individually. Add-on documents and extra report credits are one-off purchases. The current prices are on our pricing page and apply at the moment you buy.
Payment. Card payments are taken by Stripe. Subscriptions renew automatically on their anniversary unless cancelled beforehand. Where we have agreed invoicing, payment is due on the terms stated on the invoice.
Cancelling. You can cancel at any time. You keep access until the end of the period you have already paid for, and we do not refund the unused part of that period. Your subscription then stops and does not renew.
If a payment fails. Cards expire and banks decline things, so we do not cut you off immediately. Your access continues for a short grace period while the payment is retried. If it has not succeeded by the end of that period, access stops until payment is brought up to date. We currently allow seven days. FOR COUNSEL — confirm we may state a period we can vary, or whether it must be fixed here.
Refunds. If we refund a purchase, any unused report credits from it are removed and any subscription it paid for stops. A report you have already generated and downloaded is yours to keep — we will not pretend we can take back a file already on your computer — but you will not be able to generate further reports from a refunded purchase.
Your statutory rights. FOR COUNSEL — the service is sold to businesses, so the Consumer Contracts Regulations should not apply and there should be no 14-day cancellation right. Please confirm, and tell us whether we need to say anything explicit about sole traders, who can in some circumstances be treated as consumers.
Chargebacks. If a payment is charged back, access is suspended in the same way as a refund while we resolve it with you.
Price changes. FOR COUNSEL — we would like to be able to change renewal prices with notice before a renewal date. Please advise the notice period and wording.
6. Liability
FOR COUNSEL — this section most of all. The text below is a starting position written by us, not legal drafting, and it sits directly against what we sell. We market a "defensible", citation-backed report; a liability cap that is too aggressive may look unreasonable under the Unfair Contract Terms Act 1977 precisely because the whole value of the product is that it can be relied upon. We would rather you set this than we guess at it.
Our starting position, for you to correct:
- Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
- We do not exclude our obligations as a data processor under the UK GDPR.
- Subject to those, our total liability for all claims in any twelve-month period is limited to the amount you paid us in that period.
- We are not liable for loss of profit, loss of business, or regulatory fines imposed on you, except where those follow directly from our own breach.
- The service reflects our reading of the law at the date a report is generated. It is not a guarantee of any regulator's or court's view, and section 2 already says so.
FOR COUNSEL — specific questions: is a fees-paid cap defensible for a compliance product sold on reliability, particularly for a £495 one-off purchase? Should the cap differ for subscription and one-off customers? And should we carry professional indemnity insurance before launch, at what level?
6a. Your responsibilities
The report is built from the answers you give. If those answers do not describe your systems accurately, the report will not either. You are responsible for the accuracy of what you tell us, for having someone suitably qualified review any document before you rely on it, and for keeping your account credentials secure.
6b. Data protection roles
You are the controller for any personal data in your answers. We are your processor for it, and a controller for data about your own users. Our privacy policy sets out what we hold and who processes it on our behalf. FOR COUNSEL — we expect to need Article 28 processor clauses here or in a separate data processing agreement. Please advise which, and draft accordingly.
7. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
FOR COUNSEL — please confirm exclusive jurisdiction is the right choice for a UK-only customer base, and advise whether we should require a stage of good-faith discussion before proceedings.
